LEGAL COUNSEL
JOB SUMMARY:
The Legal Counsel is a member of HMC Group legal and compliance team and reports directly to the Group Managing Counsel and Legal Manager. The Legal Counsel will assist the Group Managing Counsel and Legal Manager in overseeing HMC Group’s legal affairs in Vietnam. The Legal Counsel is expected to support HMC Group’s mission and objectives by offering clear and pragmatic advice with little supervision.
JOB RESPONSIBILITIES:
- Advise on Vietnamese laws and legal requirements required for or in relation to the business and operations, as well as legal rights and obligations with regard to any legal or regulatory requirement, and compliance connected to HMC Group
- Advise on business transactions, procurement contracts and other agreements in the normal course of the business, ensure the compliance thereof, and make necessary revisions and recommendations for the benefit of HMC GroupAdvise on potential or actual administrative inspections or audits, administrative actions or claims, and make relevant recommendations for the benefit of HMC GroupPrepare, draft and review a wide range of contracts, templates, board resolutions and legal documents required in the day to day operations of the HMC Group, where needed
- Proactively identify and discuss any legal risk, findings, recommendations and opportunities to better the interest and legal function of HMC Group with the Group Managing Counsel or Legal Manager
- Effectively work with other legal team members and other departments, to function and contribute to the performance of HMC Group in general and the legal function in particular
- Attending meetings and functions (as assigned) concerning legal matters such as tendering, and the like – taking notes and reporting back and updating the legal team of the same
- Assist in and take responsibility for other duties and special projects as requested by the Group Managing Counsel or Legal Manager
QUALIFICATIONS & SKILLS REQUIREMENTS
Qualifications and Skills
- Must have a law degree with a strong academic background
- At least 5 years of relevant experience with significant experience in advising on complex legal issues with the following preferable working sectors: Healthcare, Real Estate, Commerce, Hospitality
- Has good working knowledge of Vietnam laws and regulations, legal trends, and common practice in the preferable working sectors mentioned above. In addition, must be familiar and have performed matters relating to company incorporation, complex licensing incorporation structures, and loan registrations
- Has analytical and problem-solving skills, including the ability to propose countermeasures to mitigate legal risks, while still being commercially minded/taking calculated risks
- Ability to work independently and manage matters with little supervision and deliver any assigned work in a timely manner
- Ability to manage legal complaints and relationships over a network of hospitals under the HMC Group
- Ability to maintain confidentiality at all times and ensure that confidential data is handled in a sensitive manner
- Ability to independently plan, prioritize and deliver a wide variety of legal work given tight timescale and in a fast-moving environment
- Sufficient IT skills to work with spreadsheets, presentations, and e-mail
- Good English communication skills (written and verbal)
Preferred Qualifications:
- Qualified legal professional, called to the Vietnam bar
- Legal practice experience with transactional/M&A work., general corporate work and/or private equity gained at top international law firms or from in-house positions
- A fair level of corporate governance experience and knowledge in the healthcare sector
- Flexible in working patterns to fulfil commitments
- Highly motivated and robust under pressure. Able to bring energy, vitality, and challenge to the team
